Terms of Service

The terms that govern your use of Yoink — the creator commerce platform for storefronts, courses, and communities.

Effective date: [DATE]

This document is a template provided for convenience. Have qualified legal counsel review and adapt it for Yoink before launch.

These Terms of Service (the “Terms”) form a binding agreement between you and [Company legal entity] (“Yoink”, “we”, “us”, or “our”) and govern your access to and use of the Yoink website, applications, and services (collectively, the “Service”). By creating an account, claiming a space, listing a product, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the accuracy of the information you provide and for keeping your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized use.

2. The Service

Yoink lets creators operate a storefront (memberships, courses, and digital downloads), run a gamified community, and earn experience points (“XP”) that can unlock discounts and gated products. We provide the platform and payment-processing connections; creators are responsible for the products, content, communities, and customer relationships they create.

3. Roles: creators and members

  • Creators (sellers) list and sell products, set prices and access rules, run communities, and are the merchant of record for their sales unless stated otherwise. Creator-specific obligations are set out in our Creator & Payout Terms.
  • Members (buyers) purchase products, join communities, and participate in the feed. The product, the community rules, and any course or membership content are provided by the creator, not by Yoink.
  • Yoink is the platform that connects the two. We are not a party to the contract between a creator and a member except where required to operate payments or where these Terms state otherwise.

4. Payments, fees, and payouts

Payments are processed by our third-party payment processor (Stripe). By transacting on Yoink you also agree to the processor’s applicable terms. Yoink charges a platform fee on sales as described on our Pricing page; the fee in effect at the time of a transaction applies. Creators receive payouts to their connected payment account, subject to the processor’s payout schedule, holds, and verification. All amounts are processed in the currency shown at checkout. Detailed payout terms are in our Creator & Payout Terms.

5. Refunds and cancellations

Purchases of digital products and memberships are subject to our Refund & Returns Policy, which is incorporated into these Terms by reference. Subscription memberships renew automatically until canceled; you may cancel at any time and will retain access through the end of the paid period unless stated otherwise.

6. Acceptable use and content

Your use of the Service must comply with our Acceptable Use & Content Policy. You retain ownership of the content you submit (posts, comments, products, course material). You grant Yoink a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely to operate, provide, and improve the Service. Creators grant members the access rights described in the product they purchase.

7. Experience points (XP) and perks

XP, levels, and perks are platform features configured by creators. XP has no cash value, is not transferable, cannot be redeemed for money, and may be adjusted or reset in cases of fraud, abuse, or error. Discounts or product unlocks tied to XP are governed by the creator’s configuration and may change.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Yoink and its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted here, no rights are transferred to you. You may not copy, modify, reverse engineer, or create derivative works of the Service.

9. Third-party services

The Service integrates third-party providers (for example, payment processing, email delivery, and video hosting). Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for prolonged inactivity. Upon termination, the rights granted to you cease; sections that by their nature should survive (for example, fees owed, intellectual property, disclaimers, limitation of liability) will survive.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any creator’s products will meet your expectations.

12. Limitation of liability

To the maximum extent permitted by law, Yoink and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to Yoink in the twelve months before the claim or one hundred U.S. dollars (USD $100).

13. Indemnification

You agree to indemnify and hold harmless Yoink and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or the rights of any third party.

14. Governing law and disputes

These Terms are governed by the laws of [governing-law jurisdiction], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [venue], except where applicable law provides otherwise. [Insert any arbitration or class-action-waiver provisions your counsel recommends.]

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Contact
